    Terms and Conditions

    By using Colably.space you agree to these Terms and our Privacy Policy.

    1. Acceptance of Terms

    By registering, accessing, or using Colably.space, you agree to be bound by these Terms of Service. These terms act as a legal contract between you and Colably under the relevant laws of Pakistan, including the Contract Act of 1872 and the Prevention of Electronic Crimes Act (PECA) 2016. If you do not agree to these rules, you may not use our platform.

    1.1 Classification of Users

    Our platform connects Users, including Brands (such as startups and other business types) and Influencers (including micro, mini, and mega influencers). Influencers are content creators based in Pakistan who leverage their social media presence to promote products, services, or brands.

    All Users of the platform, including Brands and Influencers, act independently and are solely responsible for their own actions, conduct, and any content or agreements made through the platform. Colably acts only as a payment facilitator and is not an employer, partner, or agent of any user.

    1.2 Authority and Representation

    By creating an account, you confirm and guarantee the following under the law.

    Age Requirement: You are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are registering for a Brand, you have the legal right to represent that business and bind it to these terms.

    Identity Verification: You agree to provide accurate information (KYC) and will not impersonate any person or brand.

    Territorial Restriction: You acknowledge that Colably.space currently operates exclusively within Pakistan. You must comply with all local tax and advertising regulations applicable to influencer marketing.

    2. Eligibility and User Account

    2.1 Eligibility Requirements

    To use Colably.space, you must meet specific legal and platform standards designed to maintain a professional and safe environment. By signing up, you confirm that:

    • Age and Capacity: You are at least 18 years of age and are legally capable of entering into a contract under the laws of Pakistan.
    • Location: You are operating within Pakistan, as our services and niche are currently exclusive to the Pakistani market.
    • Verified Status (KYC): You agree to complete our Know Your Customer (KYC) and verification process, which includes providing valid contact details and, for brands, potentially providing business proof such as an NTN.
    • Influencer Standards: If you are a creator, you must meet our minimum follower counts and engagement percentages. Accounts with fake followers or inorganic engagement spikes will be permanently suspended.

    2.2 Account Creation

    Creating an account is the first step to accessing our community of brands and influencers.

    • Registration: You must provide accurate and truthful information during the signup process, including a valid phone number and email address.
    • Social Media Integration: Creators are required to link their professional social media accounts (e.g., Instagram) to allow for performance tracking and verification.
    • Welcome Bonus: Upon successful signup and verification, new accounts will be granted 5 free connects (credits) to begin exploring brand collaborations. This offer is only valid for first 100 signups.
    • Account Security: You are solely responsible for all activity that occurs under your account. You must keep your login credentials confidential and notify us immediately if any unauthorized use or security breach happens.

    3. User Conduct and Responsibility

    3.1 General User Responsibilities

    All Users on Colably.space, whether Brands or Creators, must act with professional integrity to ensure a successful collaboration ecosystem. By using the platform, you agree to:

    • Honest Communication: Negotiate and fix payment ranges or campaign requirements in good faith.
    • Adherence to Workflow: Follow the established Colably.space workflow, from signing up to marking deliverables as completed.
    • Professional Delivery: Influencers are responsible for uploading high-quality deliverables once a gig is finalized.
    • Active Participation: Brands must review deliverables within the designated days once a creator marks a task as delivered.
    • Responsive Conduct: Users are expected to maintain low cancellation rates and high response times to maintain a high "Trust" score within our system.

    Harassment and Misconduct

    Colably.space maintains a zero-tolerance policy towards harassment, abuse, or misconduct of any kind. Users are strictly prohibited from engaging in behavior that is harmful, threatening, defamatory, discriminatory, or otherwise inappropriate towards other Users. This includes, but is not limited to, offensive communication, exploitation, coercion, or any form of intimidation.

    Any User found to be engaging in such conduct may face immediate action, including removal of content, temporary suspension, or permanent termination of their account, at the sole discretion of the platform.

    Account Suspension and Termination

    Colably.space reserves the right to suspend or terminate any User account at any time, without prior notice, if the User is found to be in violation of these Terms and Conditions or engaged in activities that may harm the platform or its Users.

    Grounds for suspension or termination may include, but are not limited to, fraudulent activity, breach of agreements, misuse of the platform, or violation of applicable laws. The platform shall not be liable for any losses resulting from such suspension or termination.

    3.2 Prohibited Transactions

    To protect our niche community of influencers and brands in Pakistan, the following activities are strictly prohibited and may result in an immediate ban.

    • Fake Engagement: Selling or buying fake followers or attempting to manipulate engagement metrics is prohibited.
    • Scams and Fraud: Any attempt to defraud another User or the platform will result in account termination.
    • Unauthorized Data Sharing: Leaking confidential campaign information or personal data shared during a collaboration is a violation of our policy.

    4. Content

    4.1 Ownership of Creator Content

    The creator remains the owner of all original content (photos, videos, captions, etc.) until the deliverables are approved and final payment is settled. Once the influencer uploads the final deliverable and the brand approves the work, the ownership or usage rights transfer according to the agreed-upon project terms. If a project is rejected or a full refund is issued due to non-delivery, the brand has no right to use any drafts or content shared by the creator during the review phase.

    4.2 Brand License and User Rights

    By accepting a gig, the brand receives a license to use the creator's content for marketing and promotional purposes as defined during the review phase. Brands are granted a limited, revocable license to provide the creator with brand assets (logos, product images, etc.) solely for the purpose of fulfilling the specific campaign deliverables. Influencers grant Colably.space a royalty-free license to display their uploaded content and profile metrics for the purpose of facilitating connections and showcasing platform success.

    4.3 Infringement and DMCA

    Colably.space respects intellectual property rights and will take action against any user who uploads content they do not own or have permission to use. If a creator or brand believes their copyright has been violated on the platform, they may submit a formal report to our compliance team. Any user found to be consistently infringing on the rights of others or leaking proprietary campaign information will be permanently banned from the platform.

    5. Confidentiality

    5.1 Confidential Information

    To ensure a secure environment for both brands and influencers, all users must treat sensitive data with the utmost care. Confidential Information includes, but is not limited to:

    • Campaign Specifics: Details regarding campaign briefs, creative strategies, and fixed money ranges negotiated between the brand and influencer.
    • User Data: Private contact information, KYC documents, and business proofs like NTN details provided during onboarding.
    • Performance Metrics: Internal engagement data and risk scores that are not publicly visible on social media profiles.
    • Negotiation Details: All private communication within the Colably.space messaging system regarding gig terms and finalization.

    5.2 Colably.space Confidentiality Obligations

    Colably.space is committed to protecting the privacy of our niche community within the Pakistani market. Our obligations include:

    • Information Leak Policy: We maintain a zero-tolerance policy for the leakage of confidential information; any user found sharing private campaign details or platform data outside of the intended collaboration will be banned immediately.
    • Data Usage: We use collected information, such as Instagram data, solely for verification, risk scoring, and facilitating the "Payment Secured" workflow.
    • Legal Compliance: We will only disclose user information if required by the laws of Pakistan or to protect the platform against documented fraud and scams.

    6. User Responsibility and Prohibited Conduct

    6.1 General Responsibility of All Users

    To ensure a reliable marketplace for influencers and brands in Pakistan, all users must adhere to the following obligations:

    • Honest Representation: Users must provide accurate, truthful, and up-to-date information in their profiles, campaign briefs, and KYC verification.
    • Workflow Compliance: Users must follow the established Colably.space workflow.
    • Good Faith Negotiation: Brands and influencers are expected to negotiate and fix a range of money fairly before finalizing a gig.
    • Account Security: Every user is responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account.

    6.2 Prohibited Conduct

    Colably.space maintains a zero-tolerance policy for actions that undermine the platform's integrity. Engaging in the following will lead to an immediate ban:

    • Information Leaks: Any user who leaks confidential campaign information or fails to comply with our privacy policies will be banned from the platform.
    • Platform Circumvention: Users are strictly prohibited from moving payments "off platform". Deals made outside of Colably.space are not protected and are considered a violation of our terms.
    • Fraud and Scams: Engaging in any form of scam, misrepresentation, or fraudulent activity is strictly forbidden.
    • Inorganic Growth: Influencers found using fake followers or exhibiting sudden, unexplained spikes in engagement will be flagged and removed during the onboarding or review process.
    • Non-Compliance: Failure to deliver agreed-upon work or refusing to release secured payments after successful delivery will result in account suspension and risk-score penalties.

    7. Intellectual Property and Content Ownership

    7.1 User-Generated Content

    Influencers retain the primary ownership of all original content they create and upload to the platform, including photos, videos, and graphics. By using Colably.space, influencers grant the platform and the specific Brand they are working with a limited, royalty-free license to use and display that content for the purpose of executing and promoting the campaign. This license ensures that the Brand can view and review the work while it is being finalized.

    7.2 Brand-Owned Content

    Brands retain full ownership of all intellectual property they provide, such as logos, slogans, product images, and trademarks. Brands grant influencers a non-exclusive, temporary, and revocable license to use these materials solely for the purpose of completing the agreed-upon gig. Influencers are prohibited from using Brand assets for any personal or third-party use outside the scope of the specific collaboration.

    7.3 Deliverables

    Ownership of final deliverables typically transfers to the Brand only after the 50% remaining payment is released and the campaign is marked as "Completed". Brands may not resell or commercially exploit these deliverables beyond the agreed-upon usage rights without the influencer's consent.

    7.4 Takedown Policy

    Colably.space respects the intellectual property rights of all users and will respond to valid notices of alleged copyright infringement. If you believe your work has been used on the platform in a way that violates your rights, you may submit a takedown request to our compliance team. We reserve the right to remove infringing content and permanently ban users who repeatedly violate the intellectual property rights of others.

    8. Indemnification

    8.1 User Obligations

    You agree to protect, defend, and hold Colably.space, its team, and its affiliates harmless from any legal claims, losses, or expenses that arise from your actions on the platform. This means you are responsible for:

    • Your Content: Any claim that the videos, photos, or text you upload violate someone else's rights or laws.
    • Your Conduct: Any violation of these terms, platform policies, or the laws of Pakistan committed through your account.
    • Your Transactions: Any direct dispute between a brand and an influencer regarding payment, the quality of work, or a failure to deliver the agreed-upon gig.
    • Third-Party Claims: Any issues arising from your misuse of the platform, including fraud, scams, or providing fake metrics.

    8.2 Survival

    Your duty to defend and hold Colably.space harmless remains in full effect even if you stop using the platform, delete your account, or if we ban your account for policy violations. This legal protection "survives" the end of our professional relationship to ensure the platform is not held liable for past actions taken by users.

    9. Governing Law and Arbitration

    9.1 Governing Law

    These Terms and any disputes related to your use of Colably.space are governed by and built according to the laws of the Islamic Republic of Pakistan. Any legal assessment of these terms will be based on Pakistani statutes, including the Contract Act of 1872 and the Prevention of Electronic Crimes Act (PECA) 2016.

    9.2 Binding Arbitration Agreement

    If a dispute arises between you and Colably.space that cannot be resolved through our internal mediation or dispute system, both parties agree to resolve the matter through binding arbitration rather than in a general court. By using this platform, you agree that an independent arbitrator will make a final and legal decision regarding the dispute, which must be followed by both sides. This process is designed to be a faster and more efficient way to settle disagreements within the Pakistani legal framework.

    9.3 Class Action and Jury Trial Waiver

    All disputes must be resolved on an individual basis; you agree not to bring any claim as a plaintiff or participate as a member in any "class action" or representative legal proceeding. By agreeing to these terms, both you and Colably.space waive the right to a trial in a traditional court of law for any disputes covered by this arbitration agreement.

    9.4 Exceptions to Arbitration

    Notwithstanding the agreement to arbitrate, either party may still bring a case to a small claims court for disputes that fall within that court's specific jurisdiction. Colably.space reserves the right to seek immediate legal relief (such as an injunction) in a court of competent jurisdiction to stop the unauthorized use of intellectual property, data security breaches, or the leaking of confidential information.
